Agreement

These Terms of Service (“Terms”) govern your access to and use of this storefront and any purchase you make through it. By accessing the site or placing an order, you agree to be bound by these Terms. If you do not agree, do not use this site.

These Terms are between you and Centric Iterations LLC, a Massachusetts limited liability company.

Who We Are

Centric Iterations is an independent authorized reseller of REGO-FIX products. We are not REGO-FIX, and we are not an agent, employee, or representative of REGO-FIX. Your purchase contract is with Centric Iterations LLC.

Eligibility and Use

You may purchase from this storefront if you are at least 18 years of age and capable of forming a binding contract. Products offered here are precision industrial tooling intended for use by trained personnel in professional machining applications.

You agree not to:

  • Use the site for any unlawful, fraudulent, or harmful purpose

  • Interfere with or damage the site or impair its availability

  • Transmit any virus, spyware, or malicious software

  • Conduct systematic or automated data collection on the site without our express written consent

  • Republish, reproduce, duplicate, or commercially exploit content from this site without written consent

Product Information, Pricing, and Availability

Product specifications, images, engineering drawings, technical data, pricing, and availability displayed on this storefront are supplied by the manufacturer and are retrieved from manufacturer sources automatically.

  • We update pricing and availability data multiple times throughout each business day. Despite this, information may not reflect real-time manufacturer changes. Prices and availability are subject to change without notice and may change immediately before or after your order is placed. We are not liable for such variations.

  • We do not warrant that product descriptions, specifications, dimensional data, or images are complete, accurate, current, or error-free. You are responsible for verifying that a product is suitable for your intended application before purchase.

  • Prices are stated in United States Dollars and may be subject to applicable tariffs.

Pricing Errors

We reserve the right to refuse or cancel any order placed at an incorrect price, including errors resulting from data synchronization faults, manufacturer data errors, typographical errors, or system malfunctions- regardless of whether the order has been confirmed and payment charged. When we must cancel such an order, we will notify you and issue a full refund of any amount charged.

Account Pricing

Registered account holders may be eligible for account-specific pricing. Account pricing is applied at our discretion, is not transferable, and may be modified or withdrawn at any time. List pricing applies to visitors who are not signed in.

Customer Accounts

Creating an account is optional, but an account is required to receive account-specific pricing. If you create an account, you agree that:

  • You will provide accurate, current, and complete information, and will keep that information up to date.

  • You are responsible for maintaining the confidentiality of your login credentials.

  • You are responsible for all activity that occurs under your account, regardless of whether you authorized it.

  • You will notify us promptly at tooling@centriciterations.com of any unauthorized use of your account or any suspected breach of security.

  • You will not share your account, your credentials, or any account-specific pricing with a third party.

  • You will provide valid tax exemption documentation before claiming exempt status and will notify us promptly if that status changes or expires.

  • You will ensure that any carrier account number stored in your profile is valid, active, and authorized for your use.

Accounts are for the use of the named business or individual only. Account-specific pricing is extended to that account and is not transferable.

We may suspend or close an account at any time, including for inactivity, misuse, non-payment, provision of inaccurate information, or violation of these Terms. Suspension or closure of an account does not relieve you of any outstanding payment obligation, including unpaid shipping invoices.

Orders

When you place an order and your payment is processed, your purchase is complete. You will receive an order confirmation by email.

We reserve the right to refuse, limit, or cancel an order in limited circumstances, including suspected fraud, a pricing or listing error, or product unavailability. When we cancel an order, we will notify you and issue a full refund of any amount charged.

Quotations

Certain products are available by quotation only. Quotations are valid for the period stated on the quotation and are subject to manufacturer confirmation of price, availability, and lead time. A quotation does not constitute acceptance of an order.

Payment

Payment is due in full at the time of order placement. We accept credit and debit cards and bank transfer through our payment processor. Freight and related charges are billed separately as described in our Shipping Policy.

Shipping, Risk of Loss, and Transit Damage

All shipments are FOB Whitestown, Indiana. Title and risk of loss pass to you when the shipment is tendered to the carrier at the supplier's facility. Once a shipment leaves that facility, it travels at your risk.

Centric Iterations LLC is not liable for any loss, damage, delay, theft, shortage, or destruction occurring in transit, regardless of cause. No such event entitles you to a refund, replacement, credit, or any other remedy from Centric Iterations. Claims for transit loss or damage lie against the carrier.

As a courtesy and without assuming liability, we will provide documentation and reasonable assistance in support of a carrier claim. We do not guarantee any outcome.

Shipping charges are billed separately and are your responsibility, as set out in our Shipping Policy. This section does not apply to items shipped in error or products that are non-functional upon receipt, which are addressed in our Return and Refund Policy.

Taxes

Sales tax is calculated and applied at checkout based on your delivery address and our tax obligations. If you are exempt from sales tax, you must provide a valid exemption or resale certificate before placing an order. You are responsible for the accuracy and validity of any exemption documentation you provide, and for any tax, interest, or penalty assessed because of an invalid claim.

Tariffs, Duties, and Surcharges

Tariff rates applicable to imported tooling are volatile and subject to change without notice. Tariffs, duties, customs charges, and similar surcharges are passed through to you at cost. We do not mark them up and we do not profit from them.

If a tariff, duty, or surcharge is imposed, increased, or reassessed after your order is placed, including while your order is awaiting fulfillment or in transit, you agree to pay the additional amount. We will invoice you for the difference and provide supporting documentation on request. Such invoices are due on receipt and are subject to the same late terms as unpaid shipping invoices.

Prices displayed on the storefront may not reflect tariffs or duties applicable at the time of shipment.

Warranties

Products sold through this storefront carry the manufacturer's warranty only. We pass through, and do not modify or extend, the warranties offered by REGO-FIX:

  • Catalog items defective due to workmanship: replacement at no charge for up to one year from the date of purchase

  • powRgrip press systems: two to five years depending on model and registration, covering parts and labor, with return freight paid by the end user

Tools damaged by use or misuse are not covered.

Except for the manufacturer warranties described above, products are provided “as is.” Centric Iterations makes no warranties of any kind, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. No statement made by us, whether oral or written, creates any warranty.

Site Provided “As Is”

This storefront is provided “as is” and “as available” without representations or warranties of any kind. We do not guarantee that the site will be available at all times, uninterrupted, or free of errors.

Limitation of Liability

To the fullest extent permitted by law, Centric Iterations LLC, its members, employees, and affiliates, will not be liable for:

  • Any indirect, incidental, special, punitive, or consequential damages

  • Any loss of revenue, income, profits, anticipated savings, contracts, business relationships, reputation, goodwill, or data

  • Any damage arising from your reliance on product specifications, dimensional data, drawings, or availability information

  • Any damage arising from the use, misuse, or failure of any product purchased

  • Any loss, damage, delay, shortage, or destruction occurring during shipment or transit

These limitations apply even if we have been advised of the possibility of such damage.

Our total aggregate liability for any claim arising out of or relating to these Terms or any product purchased will not exceed the amount you paid for the product giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Centric Iterations LLC from any claim, loss, liability, or expense arising from your use of the site, your breach of these Terms, or your use or misuse of any product purchased.

Dispute Resolution

  1. Contact us first

    1. If you have a problem or concern, email tooling@centriciterations.com before pursuing any formal action. We will make a good-faith, best-effort attempt to resolve the matter reasonably and promptly. Most issues are resolved at this stage. Please allow us thirty (30) days from the date of your written notice to work toward a resolution.

  2. Small Claims

    1. Either party may bring an individual claim to a small claims court, provided the claim qualifies for that court's jurisdiction. Nothing in these Terms prevents you from using small claims court.

  3. Arbitration

    1. Any dispute that is not resolved informally and does not qualify for small claims court will be resolved by binding individual arbitration administered under the rules of a recognized arbitration provider, conducted in Massachusetts or remotely by agreement. The arbitrator's decision is final and enforceable in any court of competent jurisdiction.

Class action waiver.  You and Centric Iterations LLC each agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims or preside over any class or representative proceeding.

Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-law provisions.

Changes to These Terms

We may modify these Terms at any time. Material revisions will be posted with a revised date, and where practical we will provide notice in advance. Your continued use of the site after changes are posted constitutes acceptance.

Electronic Communications

By using this storefront or placing an order, you consent to receive communications from us electronically, including order confirmations, invoices, shipping notices, quotations, and legal notices. You agree that agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that they be in writing.

It is your responsibility to maintain a valid email address on your account and to monitor it, including spam and filtered folders. We are not responsible for communications you do not receive because of an inaccurate address or a filter on your end.

Force Majeure

We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including severe weather, fire, flood, epidemic, labor disputes, work stoppages, war, terrorism, civil unrest, government action, changes in law or tariff policy, supplier or carrier failure, shortages of materials, or interruptions in transportation, utilities, or communications.

Assignment

You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Waiver

Our failure to enforce any provision of these Terms is not a waiver of that provision or of any other provision. No waiver is effective unless made in writing by us.

Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, Return and Refund Policy, and Legal Notice, constitute the entire agreement between you and Centric Iterations LLC regarding your use of this storefront and any purchase made through it, and supersede all prior or contemporaneous communications, proposals, and understandings, whether oral or written.

No purchase order, terms of purchase, or other document issued by you will modify these Terms, regardless of any language in that document to the contrary, and regardless of whether we acknowledge it or fail to object to it.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
